1. Introduction & Scope
These Terms and Conditions constitute the legal framework governing all services provided by ALT CNC MACHINE TOOL SERVICES LTD. (hereinafter referred to as "the Company", "we", "us", or "our"), a company registered in England and Wales. Our registered office is situated at 15 Highfields Grange, Cheslyn Hay, Walsall, England, WS6 7PF.
By commissioning, requesting, booking, or accepting any engineering services, diagnostics, preventative maintenance, breakdown assistance, machine movement, retrofitting, or consulting from ALT CNC, you (hereinafter referred to as "the Customer" or "you") agree to be bound by these Terms to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.
2. Contract Formation
A formal contract between the Company and the Customer is established only when the Company provides written confirmation of the booked work, or upon the commencement of the services by our engineer (whichever occurs first).
All written, verbal, or digital quotations issued by the Company are estimates only and remain valid for a maximum period of 30 days from the date of issue, unless otherwise specified in writing. We reserve the right to withdraw or amend any estimate or quotation prior to formal contract acceptance.
3. Engineering Services & Diagnostics
Our engineers perform all servicing, diagnostics, mechanical or electrical repairs, preventative maintenance, and spindle rebuilds in a highly professional manner, using standard industry practices and precision instruments.
Diagnostics are carried out based on the symptoms described by the Customer and observations made on-site. The Customer acknowledges that complex industrial computer numerical control (CNC) equipment can exhibit intermittent electrical, pneumatic, or mechanical faults that may require progressive steps of diagnosis and component replacement to fully isolate and resolve.
4. Customer Obligations & Site Preparation
To ensure the safety of our engineering staff and the efficient execution of the services, the Customer must comply with the following prep requirements:
- Provide safe, unrestricted, and continuous access to the relevant machinery and surrounding workspace.
- Ensure the workspace complies with all applicable UK Health and Safety regulations, including appropriate lighting, clean surroundings, and ventilation.
- Provide all necessary on-site utilities (including but not limited to stable main power, compressed air, and test materials) in good working order.
- Have qualified operators and technical personnel present who are familiar with the machine’s operation, history, and tooling environment.
- Ensure that any auxiliary lifting machinery (e.g. overhead cranes, forklifts) required on-site is fully certified, rated, and operated by authorised personnel.
Failure to provide these conditions may result in our engineer refusing to carry out the work, in which case the visit will be treated as an "Aborted Visit" and charged in full.
5. Fees, Payment Terms & Late Interest
Our fees are calculated on a time-and-materials basis at our standard hourly or daily rates in force at the time the services are performed, unless a fixed price has been mutually agreed in writing.
- Travel Time & Mileage: Travel hours and mileage to and from your premises will be billed at our standard rates as set out in our quote.
- Surcharges: Out-of-hours support, weekend engineering, and emergency holiday callouts are subject to premium surcharges.
- VAT: All prices quoted are exclusive of VAT, which shall be charged at the prevailing UK rate.
- Invoicing: Payment is strictly due within 30 days from the invoice date, unless otherwise formally structured on your credit account. New accounts require payment in advance of the first visit.
We reserve the right to claim interest and compensation for debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 on all overdue invoices, calculated from the due date until full payment is received at 8% above the Bank of England base rate.
6. Cancellation, Rescheduling & Aborted Visits
Because our engineers are scheduled weeks in advance, cancellation or rescheduling of confirmed visits by the Customer affects our operations significantly.
Cancellations or requests to reschedule must be submitted in writing. The following fees apply:
- Within 48 hours of scheduled arrival: 50% of the estimated labour and travel fees will remain payable.
- Within 24 hours of scheduled arrival: 100% of the estimated labour and travel fees will remain payable.
If our engineer arrives on-site and is unable to perform the work due to lack of preparation, machinery inaccessibility, lack of power, unsafe environment, or key operators being unavailable, this will be deemed an Aborted Visit. The Customer will be charged 100% of the scheduled day rate plus all accrued travel and accommodation expenses.
7. Machine Relocation & Rigging
When ALT CNC coordinates or performs machine relocation, our services are limited strictly to decommissioning, securing, levelling, re-commissioning, and geometric aligning.
Unless explicitly specified in writing, we do not provide heavy crane rigging, flatbed transport, or heavy haulage ourselves. Where we arrange third-party transportation, we do so acting as the Customer's agent.
The Customer must ensure that appropriate transit and rigging insurance is in place for the full asset value of the machine. The Company accepts no liability for transit damage, shifting, drop damage, or road accidents involving third-party transport providers.
8. Limitation of Liability
Nothing in these Terms shall limit or exclude the Company’s liability for death or personal injury caused by its negligence, or for fraud or fraudulent misrepresentation.
Subject to the above:
- The Company shall under no circumstances whatever be liable to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of production, loss of business, loss of contracts, loss of anticipated savings, or any indirect or consequential loss arising under or in connection with the services or the breakdown of any machine tools.
- The Company’s total liability to the Customer in respect of all other losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the **total price paid by the Customer** for the specific work order or service visit under which the liability arose.
The Customer acknowledges that production downtime can result in massive financial losses, and that it is the Customer’s sole responsibility to maintain sufficient business interruption insurance and contingency planning.
9. Warranty & Spare Parts
The Company warrants that its engineering labour services will be carried out with reasonable care and skill. Any remedial claim must be notified in writing within 14 days of the work completion.
Spare parts, electronics, encoders, software controls, and mechanical items supplied by us are subject only to the original manufacturer's warranty terms (typically 3 to 12 months, depending on the supplier). We do not provide any independent warranty on third-party spare parts.
No warranty is provided for parts supplied directly by the Customer for us to install. If a Customer-supplied part fails during commissioning or subsequent operation, all labour required to diagnose and swap the part remains fully billable.
10. Governing Law, Jurisdiction & Contact
Any dispute or claim arising out of or in connection with these Terms or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
